Gilead–Pharmasset HCV nucleotide acquisition and asset validation
Gilead Sciences, Inc. · 2011–2015
After Gilead's definitive Pharmasset agreement is already signed and public, should a public-equity underwriting committee increase, maintain bounded or reduce exposure to Gilead, and which financing, clinical, regulatory and commercial gates must clear before treating PSI-7977 as a validated asset?
Preserve a bounded existing position while buying future public information; do not increase exposure on an exploratory signal or compute valuation from transaction value and liquidity. Scenario weights are judgmental and do not price the security.

What happened
Gilead completed the Pharmasset acquisition using cash, notes and bank debt, advanced sofosbuvir to FDA approval as Sovaldi for combination antiviral treatment, and reported Sovaldi and sofosbuvir-containing Harvoni product sales in 2014.
The frozen packet made the appropriate public-adviser distinction between a cohort-specific signal and validated combination-use evidence, recommended only bounded exposure, and preserved financing, pivotal, safety, regulatory and access gates. Later approval and sales support the usefulness of those observable gates as an underwriting discipline, but they do not prove that Gilead used the proposed gates internally, that the original signed price was attractive, or that maintaining exposure produced the best security return. The outcome record supports approval and commercial asset validation while retaining return, ethics, durability and causal abstentions.
Maintain only bounded exposure and release additional underwriting confidence after prespecified regimen-level efficacy, safety, regulatory, manufacturing and access gates clear; preserve abstention when a decision-critical gate remains unknown.
A molecule-level signal can fail to generalize across regimens, populations, doses, safety horizons or manufacturing execution, while explicit gates make the thesis falsifiable and keep later evidence from being smuggled into the original decision.
Classify clinical approval, commercial conversion, acquisition return, business quality and price attractiveness as separate conclusions; recognize bounded asset validation while abstaining from IRR or target-price claims until a deterministic audited cash-flow bridge is available.
Revenue is not acquisition cash flow, consolidated margins do not allocate product economics, and combination or execution effects prevent gross sales from proving the acquired asset's standalone return.
