Decision and legal perimeter

eBay, Skype, and the Skype sellers entered into a sale and purchase agreement on September 11, 2005. The filed terms described approximately USD 2.6 billion of initial consideration: approximately USD 1.3 billion in cash and the value of approximately 32.4 million eBay shares. A separate maximum contingent earnout of approximately USD 1.5 billion could be paid later in cash or stock at eBay's discretion. Business mechanism and the KPI mismatch

eBay claimed that integrating Skype communication into the marketplace would help buyers obtain information, help sellers close sales, and increase the velocity of trade, especially in used cars, business and industrial equipment, and high-end collectibles. It also proposed pay-per-call monetization in addition to transaction fees. These are interested-party mechanism claims, not observed integration results. The contractual incentive scorecard and the strategic thesis do not measure the same thing. The earnout had three payout components:

  1. Net Revenue, subject to a Gross Profit Margin condition;
  2. Gross Profit; and
  3. Average User Number, derived from contract-defined Active Users.

The contract defined an Active User for a month as a user who launched or logged into a Skype communication product within the preceding 30 days. Average User Number was the average of monthly Active Users over the preceding four consecutive calendar quarters. Those target-side measures can reward a healthy Skype business, but they do not identify incremental completed eBay transactions, PayPal gross profit, direct integration costs, disputes, refunds, or causal commerce lift. Governance should retain the contractual measures and add a separate acquirer-side causal scorecard with named owners. Metric perimeters must remain explicit.
